Terms and conditions governing participation in the adultway Affiliate Programme.

1. Introduction and Scope

These Affiliate Programme Terms & Conditions (“Affiliate Terms”) set out the rules and obligations that apply to your participation in the adultway Affiliate Programme (“Programme”). These Affiliate Terms form a binding agreement between you (“Affiliate”, “you”, or “your”) and Trusted Media Limited (company number 08153782), whose registered office is at 27 Old Gloucester Street, London, United Kingdom, WC1N 3AX(“adultway”, “we”, “us”, or “our”).

By applying for, enrolling in, or continuing to participate in the Programme, you acknowledge that you have read, understood, and agree to abide by these Affiliate Terms. Non-compliance with any provision, as assessed by us at our sole discretion, may lead to the suspension or termination of your affiliate account and the forfeiture of any outstanding commission payments.

These Affiliate Terms should be read in conjunction with our Terms of Service, Privacy Notice, and all other policies published on the adultway website. In the event of a conflict between these Affiliate Terms and any other policy, these Affiliate Terms shall prevail in respect of matters relating to the Programme.

2. Eligibility and Representations

By participating in the Programme, you represent and warrant that:

  • you are at least eighteen (18) years of age and possess full legal capacity to enter into and be bound by these Affiliate Terms;
  • all information you provide in connection with your application and ongoing participation is truthful, accurate, complete, and current, and you undertake to update such information promptly should it change;
  • you accept sole responsibility for all activity conducted under or through your affiliate account, including the actions of any individuals or entities acting on your behalf;
  • you operate and conduct promotional activities exclusively in jurisdictions where the distribution, marketing, and sale of adult content is lawful;
  • your participation in the Programme, including all marketing and promotional activities, complies with every applicable law, regulation, industry code, and ethical standard; and
  • you are not subject to any legal restriction, court order, or regulatory prohibition that would prevent you from fulfilling your obligations under these Affiliate Terms.

3. How the Programme Works

The Programme enables you to earn commission by referring new users to adultway. When a user registers or makes a payment as a result of your referral activity, you become eligible to earn commission on qualifying transactions in accordance with the rates and terms communicated to you at the time of enrolment or as subsequently updated.

Commission entitlements are recurring in nature, meaning that you will continue to earn commission on qualifying payments made by referred users for as long as both your affiliate account and the referred user’s account remain active. If your affiliate account is terminated for any reason, your entitlement to commission ceases immediately from the date of termination, and no further commission shall accrue or become payable.

4. Payments and Invoicing

Commission payments are processed within fifteen (15) days following the close of each billing period. Each billing period corresponds to one full calendar month.

Available payment methods include PayPal, cryptocurrency, and wire transfer. You must ensure that your preferred payment method and all associated details are recorded accurately in your affiliate profile before the first day of the month in which payment is due. Failure to provide valid payment details by this deadline may result in the deferral of your payment to the next billing cycle.

For self-billing purposes, we require your full legal name and postal address. This information must be kept up to date within your affiliate profile or communicated to our team before the first of each month. All personal data submitted is treated in strict confidence and is used solely for the purpose of generating self-billing invoices, in accordance with our Privacy Notice.

A minimum payout threshold of $100 USD (or its equivalent in your chosen currency) applies. Commissions below this threshold will carry forward to the following billing period until the threshold is met.

5. Promotional Standards and Prohibited Conduct

All marketing and promotional activities undertaken in connection with the Programme must be conducted lawfully, transparently, and in a manner consistent with professional ethical standards. The following activities are expressly prohibited:

5.1 Paid Search and Brand Bidding

Affiliates shall not bid on, purchase, or otherwise target adultway brand terms, trade marks, variations, common misspellings, or any confusingly similar terms in any paid search, pay-per-click, or display advertising platform. This restriction applies to all match types, including exact, phrase, broad, and modified broad match.

5.2 Incentivised Traffic

Affiliates shall not generate referrals through cashback schemes, loyalty points, rewards programmes, or any other mechanism that offers users a financial or material incentive to register or transact via an affiliate link.

5.3 Unauthorised Use of Our Brand

Affiliates shall not represent, imply, or suggest that they act on behalf of adultway or hold any official capacity within our organisation. You may not launch marketing campaigns, press releases, public relations initiatives, or media engagements under our name, or use our name when communicating with journalists, bloggers, or any individual or entity that may publish information about adultway, without obtaining our prior written consent. All promotional activity is carried out by you on your own account and at your own risk.

5.4 Unlawful, Harmful, or Objectionable Content

Affiliates shall not promote, market, or place advertisements on any website, application, social media account, or other online property that contains or facilitates access to:

  • content depicting, promoting, or facilitating the abuse or exploitation of children in any form;
  • content that sexualises minors, or that uses language, imagery, or terminology associated with the sexualisation of minors;
  • hate speech, incitement to violence, or content targeting individuals or groups based on protected characteristics;
  • self-harm, suicide, or content that glorifies or encourages dangerous behaviour;
  • non-consensual intimate imagery, deepfakes, or any material distributed without the informed consent of the individuals depicted;
  • leaked, pirated, or otherwise unlawfully obtained content; or
  • any material that is illegal in the jurisdiction where it is published or received.

Your promotional activities must not infringe upon, misappropriate, or otherwise violate the copyright, trade mark, or other intellectual property rights of any person or entity. This includes, without limitation, the scraping, copying, or republication of third-party copyrighted material.

Your marketing through the Programme must not otherwise breach any duty owed to, or rights held by, any person or entity.

5.5 Spam and Deceptive Practices

Affiliates shall not distribute unsolicited bulk email, forum spam, comment spam, or any form of automated or misleading communication. Content-locking tactics, misleading redirects, cloaked URLs, and unauthorised modifications to landing pages are strictly prohibited. You must comply with all applicable anti-spam legislation, including but not limited to the Privacy and Electronic Communications Regulations, the CAN-SPAM Act, and CASL.

5.6 Competitor Names and Third-Party Intellectual Property

Affiliates shall not use the names, trade marks, logos, or other intellectual property of competitors or other companies in a way that implies affiliation, endorsement, or sponsorship, or that otherwise infringes upon intellectual property rights. Registering or using domain names that incorporate a competitor’s brand name is prohibited.

5.7 Age-Appropriate Placement

Affiliates must not place promotional materials on any website, platform, or online property that is likely to be viewed by persons under the age of eighteen (18). All online properties on which promotional materials are displayed must comply with local age-verification requirements.

5.8 Disparagement

You shall not disparage adultway, its products, its services, or its personnel, nor portray us in a manner that is false, misleading, or likely to damage our reputation.

5.9 Inactive or Non-Functional URLs

We may, in our sole discretion, treat inactive, non-functional, or abandoned URLs associated with your affiliate activity as a breach of these Affiliate Terms.

6. Intellectual Property

All rights, title, and interest in and to adultway’s trade marks, service marks, trade names, logos, domain names, and other proprietary materials remain our exclusive property. We may provide you with approved marketing assets for use in connection with the Programme. You shall use such assets strictly in accordance with any brand guidelines we provide, and shall not alter, distort, or misrepresent them in any way. Upon termination of your participation in the Programme, you must immediately cease all use of our intellectual property.

7. Confidentiality

You shall treat all non-public information disclosed to you in connection with the Programme as strictly confidential. Without limiting the foregoing, you are expressly prohibited from publicly disclosing, sharing, or otherwise making available your commission rates, earnings figures, conversion data, or any other performance metrics associated with the Programme.

8. Monitoring and Fraud Prevention

We actively monitor referral traffic, conversion patterns, and sales data for irregularities and potential fraud. If we detect activity that we reasonably believe to be fraudulent, manipulated, or otherwise in breach of these Affiliate Terms, we reserve the right to withhold, suspend, or permanently revoke any pending or future commission payments whilst we conduct an investigation. We may also report suspected fraudulent activity to the relevant authorities.

You agree to cooperate fully with any investigation we undertake and to provide such information and documentation as we may reasonably request.

9. Data Protection and Compliance

You must comply with all applicable data protection legislation, including the UK General Data Protection Regulation and the Data Protection Act 2018, in respect of any personal data you process in connection with the Programme. You must also comply with all applicable advertising standards, consumer protection laws, and industry codes of practice relevant to your promotional activities. 10. Termination and Forfeiture

We reserve the right to suspend, deactivate, or permanently terminate your affiliate account at any time if we determine, in our sole discretion, that you have engaged in conduct that is prohibited under these Affiliate Terms or that is otherwise unlawful. In circumstances involving serious or ongoing breaches, we may take such action without prior notice to you and pending further investigation.

Where your account is terminated as a result of a breach of these Affiliate Terms, you forfeit all unpaid commissions accrued up to the date of termination, and we shall have no obligation to make any further payment to you.

You may voluntarily withdraw from the Programme at any time by notifying us in writing at hello@adultway.com. Upon voluntary withdrawal, commissions already earned and exceeding the minimum payout threshold shall be paid in the next scheduled billing cycle, provided your account is otherwise in good standing.

11. Indemnification

You agree to indemnify, defend, and hold harmless adultway, its officers, directors, employees, agents, service providers, licensors, and affiliates, at your own expense, from and against any claim, action, proceeding, demand, liability, loss, damage, cost, or expense (including reasonable legal fees) brought by a third party to the extent that it arises out of or relates to: (a) your participation in the Programme; (b) any marketing, promotional, or advertising activities you conduct in connection with the Programme, including the use of any third-party affiliate management platforms; or (c) your breach of these Affiliate Terms or any applicable law, regulation, or legal obligation.

We shall: (i) notify you in writing within thirty (30) days of becoming aware of any such claim; (ii) grant you sole control over the defence or settlement of the claim; and (iii) provide you, at your expense, with such information and reasonable assistance as you may request in connection with the defence or settlement. You shall not accept any settlement that imposes an obligation upon us, requires us to make any admission, or imposes liability not covered by this indemnity or places restrictions on us, without obtaining our prior written consent.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PROGRAMME AND ALL PLATFORMS, TOOLS, REPORTING DASHBOARDS, AND OTHER RESOURCES MADE AVAILABLE TO AFFILIATES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PROGRAMME WILL BE AVAILABLE AT ALL TIMES, NOR DO WE MAKE ANY REPRESENTATION REGARDING THE SUITABILITY, RELIABILITY, TIMELINESS, SECURITY, OR ACCURACY OF THE PROGRAMME OR ANY ASSOCIATED PLATFORM.

Nothing in these Affiliate Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.

13. Limitation of Liability

IF, NOTWITHSTANDING THE OTHER PROVISIONS OF THESE AFFILIATE TERMS, WE ARE FOUND TO HAVE ANY LIABILITY TO YOU OR TO ANY THIRD PARTY, OUR TOTAL AGGREGATE LIABILITY SHALL BE LIMITED TO THE TOTAL COMMISSION AMOUNTS ACTUALLY EARNED BY YOU IN RESPECT OF THE RELEVANT REFERRED-USER TRANSACTIONS DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Amendments

We reserve the right to modify, supplement, or replace these Affiliate Terms at any time. Where we make material changes, we will update the “Last updated” date at the top of this page and take reasonable steps to notify affected Affiliates, which may include sending notice by email or posting a prominent announcement within the affiliate dashboard.

Your continued participation in the Programme following the publication of any revised Affiliate Terms constitutes your acceptance of those changes. If you do not agree with any amendment, your sole remedy is to withdraw from the Programme in accordance with Section 10.

15. Governing Law and Jurisdiction

These Affiliate Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute, without prejudice to any right you may have to bring proceedings in the courts of your country of residence under applicable consumer protection legislation.

16. General Provisions

Entire Agreement

These Affiliate Terms, together with any policies or documents expressly incorporated by reference, constitute the entire agreement between you and adultway in respect of your participation in the Programme and supersede all prior discussions, negotiations, and agreements, whether written or oral.

Severability

If any provision of these Affiliate Terms is held by a court or tribunal of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to render it valid and enforceable or, where modification is not possible, severed from these Affiliate Terms. The remaining provisions shall continue in full force and effect.

No Waiver

Our failure to exercise or enforce any right or provision of these Affiliate Terms shall not operate as a waiver of that right or provision. Any waiver must be made in writing and signed by an authorised representative of adultway to be effective.

Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Affiliate Terms without our prior written consent. We may assign, transfer, or delegate our rights and obligations, in whole or in part, without restriction and without notice to you.

Relationship of the Parties

Nothing in these Affiliate Terms creates or shall be deemed to create a partnership, joint venture, employment relationship, or agency between you and adultway. You have no authority to bind us or to assume or create any obligation on our behalf.
